Terms of Service

Draft for legal review. Highlighted items must be confirmed by counsel before this page is relied on.

The terms that apply when you use the ReelBase website and, unless a signed agreement says otherwise, the ReelBase application.

Effective date: [to be set when counsel approves these terms].

1. Agreement

These terms are an agreement between you and ReelBase (Clever Fused LLC, a Texas limited liability company — confirm), which builds and operates ReelBase. By using this website (myreelbase.com) or the ReelBase application (app.myreelbase.com), you agree to them. If you use ReelBase on behalf of an organization, you confirm you are authorized to accept these terms for it, and "you" includes that organization.

If a customer signs an order form or master agreement with us, that agreement controls where it conflicts with these terms. Counsel to confirm the order of precedence.

2. This website

  • You may browse the site and use its content for your own information and evaluation of ReelBase.
  • Do not copy, scrape at scale, frame, or reuse site content commercially without our permission.
  • Product mockups on this site are illustrations of the interface using sample data; they are not screenshots of any customer's content.
  • Our Privacy Policy and Cookie Policy explain how we handle information on the site.

3. ReelBase accounts

  • Access is by invitation only. There is no self-serve sign-up. A workspace admin invites users and chooses their role (admin or member).
  • You are responsible for keeping your credentials confidential, for activity under your account, and for telling us promptly at our contact page if you suspect unauthorized access.
  • Workspace admins are responsible for who they invite, the roles they assign, the ingest agents they install and the review links they share.
  • You must be old enough to form a binding contract and use ReelBase for business or professional purposes.

4. Your content

  • You keep ownership of everything you or your clients put into ReelBase — footage previews, metadata, tags, notes, transcripts, cuts and review comments ("Customer Content"). Original media stays on your own storage.
  • You grant us a limited license to host, copy, process, transmit and display Customer Content only as needed to provide, secure and support ReelBase for you and as described in our Privacy Policy.
  • You are responsible for having the rights and permissions needed for Customer Content, including releases from people who appear in your footage and any notices required to your own clients.
  • We process Customer Content as your service provider. A data processing agreement will be offered to customers; counsel to prepare.

5. Optional AI features

  • Transcription, visual tagging and meaning-based search are optional and can be turned on or off per clip.
  • When used, parts of Customer Content are processed by third-party AI providers — OpenAI (audio and text) and Anthropic (still frames) — as described in the Privacy Policy.
  • AI output (transcripts, suggested tags, search results) can be inaccurate or incomplete. Review it before relying on it. Counsel to confirm AI disclaimer wording.

6. Acceptable use

You agree not to:

  • upload or share content that is unlawful, infringing, or that you do not have the right to use;
  • try to access another workspace, bypass access controls, or probe, scan or test the service's vulnerabilities except under our responsible disclosure process in the Security overview;
  • interfere with the service, overload it, or use it to send spam or malware;
  • reverse engineer the service except as allowed by law;
  • resell or provide ReelBase to third parties without our written agreement;
  • use ReelBase to violate anyone's privacy or publicity rights.

We may suspend access that threatens the service, other customers or the law, and will notify you when reasonably possible.

7. Fees

Pricing is not published. Fees, billing terms and any trial or pilot terms are set out in an order form or written agreement with you. No payment terms apply unless agreed in writing; counsel to prepare order form terms (taxes, late payment, renewals) before charging.

8. Availability and support

ReelBase is provided as a hosted service and we work to keep it available, but we do not guarantee uninterrupted service. There is no service-level agreement (SLA) unless one is included in a signed agreement. We may change or improve features; if we remove a material feature you rely on, we will give reasonable notice.

The Windows ingest agent and the DaVinci Resolve and Premiere Pro panels run on your own computers and depend on your environment (for example, the Resolve panel requires DaVinci Resolve Studio).

9. Our intellectual property

ReelBase, its software, design, documentation and the ReelBase name and wordmark belong to ReelBase or its licensors. Except for the rights expressly granted in these terms, no rights are transferred to you.

10. Feedback

If you send us suggestions or feedback, we may use them without obligation to you.

11. Confidentiality

Each party will protect the other's non-public information it receives in connection with ReelBase with reasonable care and use it only for the purposes of this relationship. Counsel to confirm whether a fuller confidentiality clause belongs in the order form.

12. Disclaimers

Except as expressly stated in a signed agreement, the website and ReelBase are provided "as is" and "as available", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, to the extent permitted by law. ReelBase is not a backup system; keep your own backups of original media and important project data.

13. Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, and each party's total liability arising out of these terms is limited to the amounts you paid us for ReelBase in the 12 months before the claim (or US$100 if you have paid nothing). Counsel to confirm the cap, carve-outs (for example indemnity, confidentiality, gross negligence) and enforceability.

14. Indemnity

You will defend and indemnify ReelBase against third-party claims arising from Customer Content or your violation of these terms. Counsel to decide whether ReelBase should offer a reciprocal IP infringement indemnity in order forms.

15. Term and termination

  • You may stop using ReelBase at any time; ending a paid subscription is governed by your order form.
  • We may suspend or terminate access for material breach not cured within 30 days of notice, or immediately where needed to prevent harm or comply with law.
  • After termination, you can request an export of your metadata and lists within 30 days; after that we will delete Customer Content from active systems (timeline and backup deletion to be confirmed). Original media is never on our servers.
  • Sections that by their nature should survive termination (for example ownership, disclaimers, limitation of liability and governing law) survive.

16. Governing law and disputes

These terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules. Disputes will be resolved exclusively in the state or federal courts located in [county], Texas, and each party consents to that venue. Counsel to confirm governing law, venue, and whether to use arbitration or a jury waiver.

17. Changes to these terms

We may update these terms. We will post changes here and update the effective date; for material changes affecting customers, we will give notice (at least 30 days — to be confirmed) before they take effect. Continued use after the effective date means you accept the updated terms.

18. Other terms

These terms (with any order form and the Privacy Policy) are the entire agreement on this subject. If a provision is unenforceable, the rest remains in effect. Neither party may assign these terms without the other's consent, except in a merger or sale of substantially all assets. Failure to enforce a provision is not a waiver.
